1. Agreement to Terms

By purchasing or accessing Longevity Events intelligence reports ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not purchase or use our Services.

These Terms constitute a legally binding agreement between you (the "Customer" or "you") and Inovasi GCV, a Belgian general partnership trading as HYPERADVANCER ("Company," "we," or "us").

2. Services Provided

We provide digital intelligence reports about longevity industry events, conferences, and related market intelligence ("Reports"). Our Services include:

2.1 Single Report Purchase

  • Individual quarterly Longevity Events intelligence reports
  • One-time payment of €300.00 (plus applicable VAT)
  • Delivered as downloadable PDF upon payment confirmation

2.2 Annual Subscription

  • Access to all quarterly Longevity Events intelligence reports for one year
  • Annual payment of €1,000.00 (plus applicable VAT)
  • Automatic renewal unless cancelled (see Section 7)
  • Four reports delivered quarterly

3. Account and Purchase

3.1 Accurate Information

You must provide accurate, current, and complete information during purchase, including:

  • Your name and contact details
  • Billing address
  • For business customers: Valid VAT number (if claiming VAT exemption)
  • Payment information

3.2 Business vs Consumer Purchases

Our Services are primarily intended for business customers (B2B). If you purchase as a consumer, mandatory consumer protection rules apply and prevail over conflicting provisions.

Business customers within the EU with valid VAT numbers may be eligible for VAT reverse charge (0% VAT), subject to validation of VAT number via the EU VIES database. You are responsible for self-accounting for VAT in your jurisdiction.

Consumer customers and business customers without valid VAT numbers will be charged Belgian VAT at the applicable rate (currently 21%).

3.3 Payment Processing

Payments are processed securely through Stripe. We do not store your payment card details. By providing payment information, you agree to Stripe's Terms of Service.

4. Licence and Usage Rights

4.1 Limited Licence Grant

Upon payment, we grant you a non-exclusive, non-transferable, limited licence to:

  • Download and view the Reports for your internal business purposes
  • Print one copy for your personal or internal business use
  • Share Reports within your organisation (for business customers only)

Organisation means the single legal entity that purchased the Report (not including affiliates unless expressly agreed in writing). You may share the Report with your employees and contractors who need access for internal business purposes, provided they are bound by confidentiality obligations at least as protective as these Terms.

4.2 Usage Restrictions

You may NOT:

  • Resell, redistribute, or commercially exploit the Reports
  • Publicly share Reports outside your organisation
  • Modify, adapt, or create derivative works from the Reports
  • Remove copyright notices or proprietary markings
  • Use automated systems to extract data from Reports
  • Share your account access credentials with third parties

4.3 Subscription Sharing

Annual subscriptions are licensed to a single organisation or individual. Sharing subscription access with unrelated third parties is prohibited.

5. Intellectual Property Rights

5.1 Ownership

All Reports, including their content, design, compilation, and presentation, are the exclusive property of Inovasi GCV and are protected by Belgian and international copyright laws.

5.3 Retention of Rights

We retain all rights, title, and interest in and to the Reports. Your licence is limited to the rights expressly granted in Section 4.

5.4 Speaker and Event Data

Reports contain publicly available information about events, speakers, and industry participants compiled from public sources at the time of publication. Event programmes and speaker line-ups may change after publication. The report reflects public sources as they existed at the time of compilation.

6. Refunds and Cancellations

6.1 14-Day Right of Withdrawal (Consumer Customers Only)

If you are a consumer (not purchasing for business purposes), you have the right to withdraw from this contract within 14 days without giving reason, in accordance with EU Consumer Rights Directive 2011/83/EU.

IMPORTANT EXCEPTION FOR DIGITAL CONTENT:

Your right of withdrawal expires when performance of the contract begins—that is, when we provide access to the Report and you access or download it—provided you have given your prior express consent and acknowledged the loss of your withdrawal right.

At checkout, you will be asked to tick a checkbox confirming:

"I consent to immediate access to my digital report and acknowledge that I lose my right of withdrawal once performance begins (when the download link is provided and I access or download the Report)."

This checkbox is unticked by default and is required to complete purchase for consumer customers. We will provide confirmation of your order and (where applicable) your consent and acknowledgement by email on a durable medium.

6.2 Lack of Conformity (All Customers)

Under EU law, digital content must conform to the contract. If a Report lacks conformity because it is:

  • Defective (e.g., file corrupted, cannot be opened, missing pages)
  • Incomplete (e.g., substantial sections missing)
  • Not as described (e.g., wrong report delivered, content substantially different from description)

You may request remedies within 2 years of delivery.

Available Remedies (in order):

  1. Bring into Conformity – We will provide a corrected version of the Report or fix the defect at no cost to you. This is your primary remedy.
  2. Proportionate Price Reduction – Where bringing into conformity is impossible, disproportionate, or not completed within a reasonable time, you may request a partial refund proportionate to the lack of conformity.
  3. Termination and Full Refund – Where the lack of conformity is serious, cannot be remedied, or we fail to remedy it within a reasonable time, you may terminate the contract and receive a full refund.

How to Request a Remedy:

Contact us within a reasonable time of discovering the lack of conformity:

Include:

  • Your name and order number
  • Description of the lack of conformity
  • Screenshots or evidence if possible
  • Your preferred remedy (corrected version, price reduction, refund)

Business Customers:

As a service commitment, we encourage you to notify us within 14 days of discovering any defect.

Our Response:

We will respond within 5 business days and provide an appropriate remedy within a reasonable time (typically 14 days).

Not Covered:

Subjective dissatisfaction (e.g., "I expected more detail") where content matches the description is not a lack of conformity.

6.3 Subscription Cancellations

Annual subscriptions automatically renew unless cancelled at least 7 days before your renewal date.

To cancel:

Subject: Cancel subscription – [Company Name] – [Order/Invoice ID]
Deadline: At least 7 days before renewal date

Effect of Cancellation:

  • Cancellation takes effect at the end of the current subscription period
  • You retain access to Reports already delivered during the current period
  • No refund for the current period (see Section 6.4)

We will send you a cancellation confirmation email within 2 business days.

6.4 Mid-Subscription Cancellations (No Partial Refunds)

We do not offer prorated refunds for cancellations during an active subscription period.

Example: If you cancel 6 months into your annual subscription, you can access Reports delivered so far, the subscription ends at the 12-month mark, and there is no refund for the remaining 6 months.

Exception: If we fail to deliver Reports as scheduled, you may be entitled to a partial refund. Contact support@hyperadvancer.com.

6.5 Cooling-Off Period for Subscriptions (Consumer Customers)

When you first purchase an annual subscription as a consumer, you have 14 days to cancel and receive a full refund, provided you have not yet accessed any Reports.

Once you access or download your first quarterly Report, the 14-day withdrawal right ends (as per Section 6.1).

6.6 No Refunds After 14 Days

After 14 days from purchase (or after accessing/downloading the Report, whichever comes first), we do not offer refunds except for:

  • Lack of conformity (Section 6.2)
  • Subscription cooling-off period (Section 6.5)
  • Failure to deliver (Section 8.2)

Refunds are not available for change of mind, purchasing errors, or dissatisfaction with conforming content.

7. Subscription Terms

7.1 Automatic Renewal

Annual subscriptions automatically renew for successive one-year periods at the then-current subscription rate unless cancelled.

7.2 Renewal Notifications

We will notify you by email at least 14 days before your subscription renews, including:

  • Renewal date
  • Renewal price
  • Instructions for cancelling

7.3 Price Changes

We may change subscription prices for renewals. You will be notified at least 30 days before any price increase takes effect. If you do not accept the new price, you may cancel your subscription before the renewal date.

7.4 Failed Payments

If a subscription renewal payment fails:

  • We will attempt to process payment up to 3 times
  • You will be notified by email
  • If payment cannot be processed, your subscription will be cancelled
  • Access to future Reports will be suspended

8. Delivery and Access

8.1 Delivery Method

Reports are delivered electronically as downloadable PDF files via email with a download link.

8.2 Delivery Timeframe

  • Single reports: Immediate access upon payment confirmation
  • Quarterly subscription reports: Delivered within 7 days of scheduled publication date

If we fail to deliver your Report within the promised timeframe:

  1. You may set an additional reasonable deadline for delivery (e.g., 7 days)
  2. If we still fail to deliver, you may cancel the order and receive a full refund

8.3 Download Availability

Download links remain active for 90 days from delivery. After 90 days, contact us at support@hyperadvancer.com to request a new download link.

8.4 Technical Requirements

You are responsible for having:

  • Internet connection for download
  • PDF reader software (e.g., Adobe Acrobat Reader)
  • Sufficient storage space (reports are typically 5-15 MB)

8.5 Delivery Completion

Delivery is completed when we send you an email containing a functioning download link to the email address you provided at purchase.

9. Warranties and Disclaimers

9.1 Conformity with Description

We warrant that Reports will conform to the description on our website and be fit for the purpose of providing market intelligence about longevity industry events.

9.2 Information Accuracy

We make reasonable efforts to ensure Reports contain accurate information. However:

  • Reports are based on publicly available information and third-party sources
  • We do not guarantee completeness or real-time accuracy
  • Event information may change after publication
  • Reports reflect public sources as they existed at the time of compilation
  • Reports are for informational purposes only

9.3 No Investment or Professional Advice

Reports are for informational and educational purposes only. They do not constitute:

  • Investment advice
  • Legal, tax, or accounting advice
  • Professional consulting services

You should not rely solely on Reports for business decisions without conducting your own due diligence.

9.4 Disclaimer of Implied Warranties

To the maximum extent permitted by law, Reports are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

This disclaimer does not affect your statutory rights regarding conformity of digital content (Section 6.2).

10. Limitation of Liability

10.1 Maximum Liability

To the maximum extent permitted by Belgian law, our total liability to you for any claims arising from or related to these Terms or the Reports shall not exceed the amount you paid for the specific Report(s) giving rise to the claim.

10.2 Exclusion of Consequential Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruption, arising from your use of or inability to use the Reports.

10.3 Carve-Outs

Nothing in these Terms limits our liability for:

  • Fraud or wilful misconduct
  • Death or personal injury caused by our negligence
  • Any liability that cannot be excluded or limited under applicable law

10.4 Consumer Rights

Nothing in these Terms limits your statutory rights as a consumer under Belgian or EU law, including:

  • Rights to conforming digital content and services
  • Mandatory consumer rights for lack of conformity of digital content
  • Right to remedies for defective digital content

11. Data Protection and Privacy

11.1 Personal Data

We collect and process your personal data in accordance with our Privacy Policy and the EU General Data Protection Regulation (GDPR).

Our Privacy Policy explains how we process personal data, including publicly available information about events, speakers, and industry participants that we compile to produce Reports. The lawful basis for processing such data is our legitimate interest in providing B2B intelligence products.

11.2 Data Controller

Inovasi GCV is the data controller for your personal information. For questions about data processing, contact privacy@hyperadvancer.com.

11.3 Marketing Communications

If you opt in to marketing communications, you may unsubscribe at any time by:

  • Clicking "unsubscribe" in any marketing email
  • Contacting privacy@hyperadvancer.com
  • Updating your account preferences (if applicable)

12. Modifications to Terms

12.1 Right to Modify

We reserve the right to modify these Terms at any time. Changes will be effective:

  • Immediately for new purchases
  • Upon renewal for existing subscriptions

12.2 Notification of Changes

We will notify you of material changes to these Terms by:

  • Posting updated Terms on our website with a new "Last updated" date
  • Sending email notification to subscribers (for changes affecting subscriptions)

The version of the Terms that applied to your purchase is the version that was effective on your purchase date. We maintain the effective date and last updated date so you can prove which version applied to your order.

12.3 Continued Use

Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of Belgium, without regard to conflict of law principles.

13.2 Jurisdiction

For business customers, any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Antwerp, Belgium.

This does not affect mandatory consumer jurisdiction rules. If you are a consumer, you may bring proceedings in the courts of the EU Member State where you are domiciled.

13.3 Consumer Dispute Resolution

If you are a consumer, you may also use the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr/

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Inovasi GCV regarding the Services.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, internet service disruptions, or third-party data source unavailability.

In such cases, we will notify you and offer delayed delivery, rescheduled delivery for subscription reports, or a refund if the delay exceeds 30 days.
